End User License Agreement — FlowPaths

This End User License Agreement ("Agreement") is between Pathways Consulting Services P.C. (Ι.Κ.Ε.), trading as pathways, a company registered in Greece, Konstantinou Karamanli 34A, Thessaloniki, Greece, 55134 ("Licensor", "we", "us"), and the organization or individual installing or using the App ("you", "Licensee"). By installing, accessing, or using FlowPaths ("the App") via the Atlassian Marketplace, you agree to this Agreement.

This Agreement supplements, and does not replace, the Atlassian Marketplace General Terms and the terms of your own agreement with Atlassian for Jira Cloud. If there is a direct conflict between this Agreement and Atlassian's Marketplace terms on a matter Atlassian's terms specifically govern (e.g. billing mechanics, refunds processed via Atlassian), the Atlassian terms control for that matter.

Subject to this Agreement and payment of any applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and use the App on Jira Cloud sites you administer, for the duration of your subscription (including any free tier or trial), solely for your organization's internal business purposes.

The App, including all software, design, and documentation, is and remains the property of Pathways Consulting Services P.C. and its licensors. This Agreement grants you only the limited rights in §1 — no other rights are transferred. Your own Jira data remains entirely yours; we claim no ownership or rights over it (see the Privacy Policy for what the App reads and stores).

4. Fees, tiers, and billing

Fees, if any, and free-tier thresholds are as displayed in the App's Atlassian Marketplace listing at the time of purchase or renewal, and are billed and processed by Atlassian under Atlassian's "Paid via Atlassian" billing terms — we do not separately invoice or collect payment ourselves. The App is offered on a free tier for organizations up to a threshold number of users, with per-user pricing applying beyond that threshold; the exact threshold and rate are set out in the Marketplace listing and may be updated by us from time to time, effective for renewals and new installs after the update.

5. Term and termination

This Agreement is effective from your first installation of the App and continues until your subscription ends, you uninstall the App, or either party terminates it for the other's uncured material breach after 30 days' written notice. We may also terminate or suspend access if required to comply with law, an Atlassian Marketplace policy, or a security concern that cannot reasonably be resolved otherwise. Sections 3, 6, 7, 8, and 10 survive termination.

6. Warranty disclaimer

The App is provided "as is" and "as available," without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law. We do not warrant that the App will be uninterrupted, error-free, or that its metrics/forecasts will be accurate for your specific circumstances — the App is a decision-support tool based on historical data, not a guarantee of future outcomes.

7. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or lost data, arising from this Agreement or use of the App. Each party's total liability for direct damages arising from this Agreement will not exceed the amount you paid for the App in the 12 months preceding the claim (or, for the free tier, €100). Nothing in this Agreement limits liability where such limitation is not permitted under applicable Greek or EU law (e.g. for death, personal injury, fraud, or gross negligence, where such limits are not enforceable).

Our data practices are described in the Privacy Policy, which forms part of this Agreement by reference. Where applicable data protection law requires a separate data processing agreement between us, contact info@yourpaths.eu.

9. Governing law and jurisdiction

This Agreement is governed by the laws of Greece, without regard to conflict-of-law principles, and (to the extent mandatory EU consumer-protection rules do not require otherwise for your specific circumstances) the courts of Thessaloniki, Greece will have exclusive jurisdiction over any dispute arising from it.
